Each engagement is custom to the client’s needs and is considered complete once the agreed deliverables are submitted.

2. Payment Terms

We value clarity and professionalism in all business transactions. Clients agree to the following payment terms:

• All invoices must be paid in full based on the timeline outlined in the invoice or service contract.

• Late payments may result in delayed service delivery, paused work, or termination of services at our discretion.

• We do not provide refunds for completed services or work already initiated unless otherwise stated in your agreement.

• In the event of a failed or disputed payment, NPD reserves the right to withhold future deliverables until the matter is resolved.

We may use third-party payment processors. Any payment information submitted through these platforms is governed by their privacy and security policies.

3. Client Responsibilities

To ensure successful collaboration, we expect clients to adhere to the following responsibilities:

• Provide clear, timely communication and feedback throughout the project lifecycle

• Respond to information requests and approvals within a reasonable timeframe

• Supply all necessary business documents, access credentials, or onboarding information relevant to service delivery

• Refrain from sharing, distributing, or reselling NPD’s proprietary systems, templates, or tools without written permission

Failure to meet these responsibilities may impact project timelines or outcomes and may lead to service delays or cancellation.

4. Intellectual Property

All content, strategies, frameworks, and systems created by NPD during a project are the intellectual property of Nomadic Process Designs unless explicitly stated otherwise in writing.

Clients are granted a non-exclusive, non-transferable license to use the provided materials solely for their own business operations. You may not:

• Republish or redistribute materials for external use

• Claim ownership of templates, SOPs, or tools developed by NPD

• Use our proprietary frameworks in products or services you sell to others

Custom-created assets or co-developed content may be subject to shared usage rights as negotiated in your individual agreement.

5. Results and Disclaimer

NPD’s services are tailored to improve your systems, workflows, and operational efficiency. However, we do not guarantee:

• Specific business outcomes such as revenue increases

• Client growth metrics

• Engagement, leads, or conversions

Our work is based on the information provided by the client and our professional judgment. The client bears full responsibility for decisions made based on our deliverables or recommendations.

6. Termination of Services

Either party may terminate the agreement under the following conditions:

a. By Nomadic Process Designs:

We reserve the right to end a service agreement if:

• Client fails to make timely payments

• Communication consistently falls short or becomes unproductive

• The scope of work or expectations are changed without agreement

• Mutual trust and cooperation break down

We will notify the client in writing and, if applicable, deliver completed portions of the work.

b. By the Client:

Clients may cancel services by providing written notice. Refunds or fees related to cancellation will follow the terms outlined in the original agreement.

In either case, all intellectual property created prior to cancellation remains governed by our IP terms.

7. Changes to These Terms

We may occasionally update these Terms of Service to reflect changes in our services, business practices, or applicable laws. When updates are made:

• The revised terms will be posted on this page with an updated effective date

• Continued use of our services constitutes acceptance of the updated terms
